(the "Issuer") granted to the Reporting Person an aggregate of 8,939 shares of common stock, par value $0.004 per share ("Common Stock") consisting of 1,989 shares of Common Stock and 6,950 restricted stock units ("RSUs"), as part of the Issuer's (i) 2024 annual retainer for non-employee director service in connection with the Reporting Person's service as a member of the Issuer's board of directors (the "Board") and (ii) the 2024 annual chairman retainer.
- [F2]Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs will vest in three installments at the end of each of the remaining calendar quarters of 2024, provided that the Reporting Person continues to serve as a director of the Issuer's Board.
