Pursuant to the Amended and Restated Memorandum and Articles of Association of the Issuer, the Class F Shares were to automatically convert into Class A ordinary shares, par value $0.0001, of the Issuer at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment.
