Each restricted share unit represents the contingent right to receive one Ordinary Share. The restricted share units vest in equal annual installments of 1/3 each, beginning on the first anniversary of the date of grant, subject to the Reporting Person's continued relationship with the Issuer through such dates.
- [F2]Shares held by Forbion Management. The Reporting Person is a member of Forbion's investment committee, which exercises voting and investment power over such shares. None of the members of the investment committee have individual voting and investment power with respect to such shares, and the Reporting Person disclaims beneficial ownership of such shares except to the extent of his proportionate pecuniary interest therein.
