- [F1]The reporting persons (the "Reporting Persons") are ICM Asset Management, Inc. ("ICM"), a Washington corporation and an investment adviser registered with the Securities and Exchange Commission, Koyah Ventures, LLC, a Delaware limited liability company ("Koyah Ventures"), James M. Simmons and Koyah Leverage Partners, L.P., a Delaware limited partnership ("Koyah Leverage"). ICM is the investment adviser to, and Koyah Ventures is the general partner of, investment limited partnerships, including Koyah Leverage. ICM is also the investment adviser to other client accounts. Mr. Simmons is the manager of Koyah Ventures and is the president and majority shareholder of ICM.
- [F2]Mr. Simmons, ICM and Koyah Ventures are filing this Form 4 jointly as a group, but disclaim membership in a group with any other person within the meaning of Rule 13d-5(b)(i) and Rule 16a-1(a)(1) under the Securities Exchange Act of 1934, as amended. Koyah Leverage is filing this report jointly with the other Reporting Persons, but not as a member of a group, and expressly disclaims membership in a group, within the meaning of Rule 13d-5(b)(i) and Rule 16a-1(a)(1), with any other person.
- [F3]The securities distributed in kind shown in Column 4 were held, and the securities owned after the distribution and shown in Column 5 are held, direclty by investment limited partnerships, including Koyah Leverage, of which ICM is the investment adviser and Koyah Ventures is the general partner. They are held indirecly by ICM, Koyah Ventures and Mr. Simmons. The Reporting Person, exept for Koyah Leverage, disclaim beneficial ownership of such securities except to the extent of their respective pecuniary interests therein.
