- [F1]On February 27, 2014, CIG Wireless Corp. (the "Company") issued Mr. Romain Gay-Crosier, the Company's Chief Financial Officer, 556,186 shares of restricted stock ("Restricted Stock") pursuant to the Company's 2014 Equity Incentive Plan (the "2014 Plan"). The Company's Restricted Stock is subject to the vesting and other provisions set forth in the award agreement (the "Award Agreement") pursuant to which such shares of Restricted Stock were issued to Mr. Gay-Crosier. A copy of the 2014 Plan was filed as Exhibit 10.56 to the Company's Registration Statement on Form S-8 filed with the U.S. Securities and Exchange Commission (the "SEC") on February 25, 2014 and a copy of the Award Agreement was filed as Exhibit 10.59 to the Company's Current Report on Form 8-K that was filed with the SEC on March 5, 2014 describing the 2014 Plan.
- [F2]Pursuant to the Award Agreement, in the event that the Company issues certain securities, Mr. Gay-Crosier is entitled to receive additional shares of Restricted Stock for anti-dilution purposes. Such additional shares are reflected on Table I of this Form 4. On February 27, 2014, the Company issued Mr. Gay-Crosier's spouse 5,562 shares of Restricted Stock. In the event that the Company issues certain securities, Mr. Gay-Crosier's spouse is entitled to receive additional shares of Restricted Stock for anti-dilution purposes. Such additional shares are reflected on Table I of this Form 4.
- [F3]This amendment is being filed to reflect that: (i) 773,008 shares of Restricted Stock were incorrectly reported on January 5, 2015 as issued to Mr. Gay-Crosier on December 31, 2014 and (ii) 24,010 shares of Restricted Stock were incorrectly reported on January 5, 2015 as issued to Mr. Gay-Crosier on January 2, 2015; (iii) 7,730 shares of Restricted Stock were incorrectly reported on January 5, 2015 as issued to Mr. Gay-Crosier's spouse on December 31, 2014 and (iv) 240 shares of Restricted Stock were incorrectly reported on January 5, 2015 as issued to Mr. Gay-Crosier's spouse on January 2, 2015. Mr. Gay-Crosier and Mr. Gay-Crosier's spouse were not issued any shares of Restricted Stock on December 31, 2014. Mr. Gay-Crosier was issued 10,013 shares of Restricted Stock on January 2, 2015, and Mr. Gay-Crosier's spouse was issued 100 shares of Restricted Stock on January 2, 2015.
- [F4]As of December 31, 2014, Mr. Gay-Crosier may be deemed to beneficially own an aggregate of 626,046 shares of Restricted Stock (including the shares of Restricted Stock held by Mr. Gay-Crosier's spouse).
