- [F1]On April 17, 2015, the Compensation Committee of the Issuer's Board of Directors approved a grant of 60,000 shares (the "2015 Shares") of restricted common stock, par value $0.001 per share (the "Common Stock") to Mr. McCarthy with equal vesting over three years and with the first such vesting date being April 1, 2016. Effective as of March 11, 2016, the Issuer implemented a one-for-ten reverse split of its outstanding Common Stock. The 2015 Shares were issued to Mr. McCarthy subsequent to the reverse stock split and the figures reported in Table I are the actual number of shares issued and have been adjusted to reflect the reverse stock split.
