- [F1]Mr. Overell, as a retired member of FHM III, LLC (the sole general partner of Frazier Healthcare III, LP ("FH III")), received a distribution of 258 shares of Issuer stock on January 5, 2006. Mr. Overell previously reported an indirect pecuniary interest in Issuer securities held by FH III and Frazier Affiliates III, LP (for which FHM III, LLC is also the sole general partner) (together, the "Frazier FH III Entities"). In June 2005, Mr. Overell became a retired member of FHM III, LLC, terminated his employment relationship with entities affiliated with the Frazier FH III Entities and ceased to hold any voting or dispositive power with respect to any securities held by the Frazier FH III Entities, including Issuer securities. However, as a retired member of FHM III, LLC, Mr. Overell has a beneficial interest in an additional 513 shares of Issuer common stock held by FH III and approximately 2 shares of Issuer common stock held by Frazier Affiliates III, LP.
