Item 7.01 Regulation FD Disclosures

On February 4, 2026, the Board of Directors of BorgWarner Inc. (the “Company”) declared a quarterly cash dividend of $0.17 per share of the Company's common stock. The dividend is payable on March 16, 2026 to stockholders of record on March 2, 2026.

On February 5, 2026, the Company issued the press release attached as Exhibit 99.1, which is incorporated herein by reference.
