- [F1]The securities described are restricted stock units ("RSU's") granted to the Reporting Person on April 26, 2010, but subject to shareholder approval of the 2010 Stock Incentive Plan (the "Stock Plan"). The Issuer's shareholders approved the Stock Plan on July 21, 2010. The RSU's will only vest upon certain performance goals being met, including a specific Adjusted EBITDA target, as of the last day of the Issuer's 2011/2012 fiscal year. In the event the specific goals are not met, the RSU's will not vest.
- [F2]An option for 973,345 shares was granted to the Reporting Person by the Issuer's Compensation Committee pursuant to an option agreement dated April 26, 2010. A Form 4 for 450,000 of those shares was filed with the Securities and Exchange Commission on April 28, 2010. The remaining 525,345 to be issued pursuant to the option were subject to shareholder approval of the Stock Plan under which this remaining portion of the option shares were granted. The Issuer's shareholders approved the Stock Plan on July 21, 2010.
