- [F1]This transaction was entered into as part of John C. Fanning's estate planning. The grantor retained annuity trust (GRAT) provides for distributions to John C. Fanning, the sole primary beneficiary of the GRAT, in cash or kind during a 105-day window commencing on the first and second anniversaries of the GRAT, with the remainder interest to be distributed to family members of Mr. Fanning at the time of the second distribution. Harry V. Maccarrone is the trustee of the GRAT but has no pecuniary interest in the GRAT. Mr. Fanning is continuing to report all of the shares transferred to the GRAT as being beneficially owned by him.
