Item 8.01. Other Events.

On December 10, 2010, Monroe Bancorp (“Monroe”) issued a press release announcing that the Board of Directors has declared a quarterly cash dividend of $0.01 per share on Monroe’s common stock payable on December 31, 2010 to shareholders of record as of December 17, 2010. In the press release, Monroe also provided an update on the previously announced merger transaction with Old National Bancorp. A copy of the press release is filed as Exhibit 99.1 and incorporated by reference herein.
