On or about November 5, 2003, the Reporting Person acquired 200,000 shares of the Issuer's common stock pursuant to the terms of one (1) of the previously referenced stock purchase agreements. The Reporting Person and each of the other contracting parties have entered into agreements extending the closing dates with resect to the other stock purchase agreements.
