(the "Fund"), a closed-end management investment company, completed its conversion from a closed-end fund organized as a Maryland corporation into an open-end fund organized as a Delaware statutory trust. In accordance with the Agreement and Plan of Reorganization between the Fund and Templeton China World Fund, an open-end Delaware statutory trust (the "Trust"), the Trust acquired substantially all of the assets of the Fund in exchange for Advisor Class shares of the Trust to be distributed to the shareholders of the Fund.
