- [F1]Templeton China World Fund, Inc. (the "Fund"), a closed-end management investment company, completed its conversion from a closed-end fund organized as a Maryland corporation into an open-end fund organized as a Delaware statutory trust. In accordance with the Agreement and Plan of Reorganization between the Fund and Templeton China World Fund, an open-end Delaware statutory trust (the "Trust"), the Trust acquired substantially all of the assets of the Fund in exchange for Advisor Class shares of the Trust to be distributed to the shareholders of the Fund.
- [F2]Martin L. Flanagan serves on the administrative committee of the Franklin Templeton Profit Sharing and 401(k) Plan (the "Plan"), which owns 137,248 shares of the Templeton China World Fund. In that capacity, he shares in voting control of such shares. The shares reflected above represent Mr. Flanagan's pro-rata portion of the shares of Templeton China World Fund held by the Plan, based on Mr. Flanagan's interest in the Plan. Mr.Flanagan disclaims any beneficial ownership of such shares, and this report will not be deemed to be an admission that the reporting person is the beneficial owner of such securities for Section 16 or for any other purpose.
