- [F2]Pursuant to the Agreement and Plan of Merger between GA Financial, Inc. and First Commonwealth Financial Corporation, dated December 11, 2003, each option to purchase a share of GA Financial, Inc. common stock was converted into either 2.752 shares of First Commonwealth Financial Corporation common stock or $35.00 less the applicable exercise price of each option, in accordance with the reporting person's election and the allocation and proration procedures contained in the Agreement and Plan of Merger. All such options became fully vested and exercisable in connection with the merger.
