- [F2]On January 12, 2009 the Issuer's Board of Directors granted to the reporting person and to Jerry Silva, jointly, warrants to purchase an aggregate of 1,300,000 shares of the Issuer's common stock. The warrants are exercisable for a five-year period ending January 12, 2014 at an exercise price of $1.10 per share, with a cashless exercise feature. Jerry Silva is the reporting person's father. The issuance of the warrants is subject to execution of an agreement between the Issuer and the reporting person and Jerry Silva to provide for, among other things, certain actions to be taken by the reporting person and Jerry Silva. Further, the reporting person and Jerry Silva intend to allocate the warrants between them and the reporting person will file an amendment to this Form 4 upon the final allocation of such warrants.
