("Issuer") common stock in exchange for 100% of its interest in Willtek Communications GmbH ("Willtek") pursuant to Issuer's acquisition of 100% of the issued and outstanding capital stock of Willtek (the "Acquisition"). On the closing date of the Acquisition, the closing price of Issuer's common stock was $2.69 per share. Of the 1,527,334 shares issued to Damany on the closing date of the Acquisition, 190,917 shares are currently being held in escrow and are subject to forfeiture during the one-year period following the Acquisition to satisfy claims arising as a result of Damany's breach of any of its representations and warranties or covenants in the stock purchase agreement.
