- [F1]On July 16, 2007, Mr. Buchan participated in a non-brokered private placement completed by the Issuer to raise gross proceeds of approximately CDN$17,000,000 through the issuance of 3,696,000 units ("Units") at a price of CDN$4.60 per Unit. Each Unit was comprised of one share of common stock (a "Common Share") and one common share purchase warrant (a "Warrant"). Each Warrant was immediately exercisable and entitled the holder thereof to acquire one Common Share of the Company for a period of two years from closing at a price of CDN$5.75 per Common Share.
