Under the forward sale agreement, Mr. Snyder agreed to deliver the Shares to Bear Stearns. To secure Mr. Snyder's delivery obligations to Bear Stearns under the forward sale agreement, Mr. Snyder pledged 926,952 shares of common stock to Bear Stearns.
