("the Charitable Foundation") sold 50,000 shares of Common Stock, $0.10 par value per share (the "Common Stock"), of The Children's Place Retail Stores, Inc., a Delaware corporation (the "Company"), on the open market at a price of $37.49. As a result, the Reporting Persons may no longer be deemed the direct beneficial owners of the 50,000 shares of Common Stock previously held by the Charitable Foundation. (cont'd in fn 2)
