Results of Operations and Financial Condition.

On January 30, 2007, United Financial Bancorp, Inc. issued a press release disclosing financial results for the three and twelve months ended December 31, 2006. The Company also announced a quarterly dividend payment of $0.06 per share payable on February 26, 2007 to shareholders of record as of February 12, 2007. A copy of the press release is included as Exhibit 99.1 to this report.
