Results of Operations and Financial Condition.

On April 20, 2007, United Financial Bancorp, Inc. issued a press release disclosing financial results for the three months ended March 31, 2007. The Company also announced a quarterly dividend payment of $0.06 per share payable on May 29, 2007 to shareholders of record as of May 15, 2007. A copy of the press release is included as Exhibit 99.1 to this report.
