- [F1]Pursuant to a Settlement Agreement and General Release, dated October 13, 2004, among the Issuer, GVI Security, Inc., a Delaware corporation, the Reporting Person and Alarmax Distributors, Inc. (the "Agreement"), the Reporting Person, among other things, relinquished all claims with respect to a warrant to purchase 4,030,637 shares of the Issuer's common stock ("Shares"), at an aggregate exercise price of $3,287.50, and the warrant was cancelled in consideration for, among other things, (i) the issuance of 650,000 Shares and (ii) the obligation of the Issuer to purchase up to $10,000,000 of the Reporting Person's Shares, subject to the Issuer's completion of a private placement and at the same per share price as the private placement. See Amendment No. 1 to Schedule 13D filed by the Reporting Person with the SEC on October 15, 2004 for a detailed description of the terms and provisions of the Agreement including the obligation of the Issuer to purchase Shares from the Reporting Person.
