(the "Operating Partnership"), Rangers Sub I, LLC ("REIT Merger Sub"), Rangers Sub II, LP, FelCor Lodging Trust Incorporated ("FelCor") and FelCor Lodging Limited Partnership, FelCor merged with and into REIT Merger Sub, with REIT Merger Sub surviving as a wholly-owned subsidiary of the Operating Partnership (the "REIT Merger"). Pursuant to the Merger Agreement, each outstanding share of common stock, par value $0.01 per share, of FelCor was converted into the right to receive 0.362 common shares of beneficial interest, par value $0.01 per share, of RLJ and cash in lieu of any fractional RLJ Common Shares.
