("Company") approved an employment agreement dated as of July 18, 2005 (the "Employment Agreement") between Mr. Parker and Vsource (USA) Inc., a Delaware company and wholly owned subsidiary of the Company. Under the Employment Agreement, Mr. Parker was granted 350,000 shares of the Company's common stock, par value $0.01 per share. These shares are fully vested, but will be restricted and subject to a restricted stock award to be entered into between the Company and Mr. Parker.
