Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 8, 2009, David L. Adams, Executive Vice President, Chief Lending Officer and Interim Chief Credit Officer of Pacific Coast National Bank (the “Bank”), a wholly owned subsidiary of Pacific Coast National Bancorp, notified the Bank of his resignation, to take effect June 5, 2009. Mr. Adams will continue to serve as Executive Vice President and Chief Lending Officer of the Bank until that date.

On May 5, 2009, Nancy M. DeCou was appointed Executive Vice President and Chief Credit Officer of the Bank.
