Item 8.01 Other Events.

On January 14, 2025, Magnolia Bancorp, Inc. (the “Company”), the holding company for Mutual Savings and Loan Association (the “Association”), announced the completion of the Association’s conversion from a federally chartered mutual savings and loan association to a federally chartered stock savings and loan association effective as of the close of business on January 14 2025. The Company’s common stock is expected to be quoted on the OTCQB Market operated by the OTC Markets Group beginning on January 15, 2025 under the ticker symbol “MGNO”.
