- [F1]Two million shares of the restricted stock grant vested immediately upon grant and were deferred pursuant to the terms of Mr. Ferreira's employment agreement with the Company dated as of September 24, 2003 (the "Employment Agreement") and the terms of the Eos International, Inc. 2003 Deferred Compensation Plan (the "Plan"). Subject to the terms of the Employment Agreement, four million shares of the restricted stock grant will vest on September 30, 2004, and an additional four million shares of the restricted stock grant will vest on September 30, 2005. For so long as shares of the restricted stock grant are unvested or deferred, Mr. Ferreira is not permitted to vote or dispose of the shares. Mr. Ferreira disclaims beneficial ownership of the unvested shares and the deferred shares for so long as such shares are unvested or deferred.
