Item 1.01 Entry into a Material Definitive Agreement.

The transaction documents for the Navient Student Loan Trust 2014-6 (the “2014-6 Trust”) were amended on March 6, 2020 to provide for the potential replacement of LIBOR as the benchmark rate (the “Benchmark Replacement Amendments”). In connection with the Benchmark Replacement Amendments, the parties thereto executed and delivered Supplemental Indenture No. 2, dated as of March 6, 2020, between the 2014-6 Trust and Deutsche Bank National Trust Company, not in its individual capacity but solely as Indenture Trustee.

Item 5.07 Submission of Matters to a Vote of Security Holders.

100% of the holders of Class A Notes and Class B Notes of the 2014-6 Trust as of the record date of February 5, 2020 consented to the foregoing Supplemental Indenture 2, effective as of March 6, 2020.
