Entry into a Material Definitive Agreement.

On September 16, 2025, Verizon Master Trust (the “Trust”) entered into (i) an Indenture between the Trust, as trust, and U.S. Bank Trust Company, National Association, as indenture trustee and note paying agent, and (ii) a Series 2025-8 Account Control Agreement among the Trust, as grantor, U.S. Bank Trust Company, National Association, as secured party, and U.S. Bank National Association, as financial institution.

On September 16, 2025, the Trust issued $400,000,000 of notes (Series 2025-8), which were not required to be registered under the Securities Act of 1933, as amended, or any state securities laws.
