The remaining shares of common stock of the issuer held by the above-referenced Insight entities are subject to sale pursuant to stock trading plans adopted by such entities in accordance with Rule 10b5-1 of the Securities Act of 1934, as amended. Mr. Sobiloff is a managing member of Insight Venture Associates III, L.L.C., the general partner of each of the above-referenced Insight funds.
