- [F1]On November 25, 2011, pursuant to an asset purchase agreement dated November 23, 2011 by and between the Issuer and Kat Exploration, Inc., the Issuer acquired 100% of the mineral rights that Kat Exploration then held in and to the mineral properties Rusty Ridge, Collier's, North Lucky and South Lucky from Kat Exploration, Inc., solely in exchange for 135,000,000 shares of the Issuer's common stock. The Reporting Person is the control person of Kat Exploration and may therefore be deemed to beneficially own the shares of common stock of the Issuer held by Kat Exploration. The Reporting Person, however, disclaims beneficial ownership of all such shares.
