The Reporting Person anticipates that it will distribute its remaining shares of the Issuer's common stock pro rata to certain other stockholders of the Reporting Person at a later date in another nonsale dispostion, because the Reporting Person was unable to effect the distribution to such other stockholders prior to the filing deadline with respect to this Form 4.

In addition, Atlantic may be deemed to be the benificial owner of the shares held by the Reporting Person. Prior the granting the Option, CBA distributed 8,110,559 shares of the Issuer's common stock to Atlantic, its sole member.
