Anchor merged with and into FS Bancorp, with FS Bancorp continuing as the surviving entity (the "Merger"). At the effective time of the Merger (the "Effective Time"), each share of Anchor common stock issued and outstanding immediately prior to such time was converted into the right to receive 0.2921 (the "Exchange Ratio") of a share of FS Bancorp common stock and $12.40 in cash (the "Merger Consideration").
