Shares Issued for Debt

On September 15, 2009, the Board of Directors of Homeland Precious Metals Corp. (the "Company") reviewed a proposal from a shareholder (the "Lender") who made a loan to the Company on April 28, 2008, in the amount of US$10,000. Said proposal is for the Lender to accept common shares of the Company in lieu of a cash repayment.

On September 15, 2009, the Board determined that it was in the best interests of the Company to approve the issuance of 1,000,000 shares of restricted common shares to the Lender, in lieu of repayment with cash.

On October 1, 2009 the Company issued the aforementioned one million (1,000,000) restricted common shares. With this issued of common shares, the Company now has an amount of issued and outstanding common shares totaling 1,149,914 shares.
