New Trustee Appointment

At a meeting on ~~March~~October 1511, 2022, the registrant’s Board of Trustees (the “Board”) appointed ~~Nancy~~Alan AC. ~~Wiser~~Bowser as an independent Trustee. MsMr. ~~Wiser~~Bowser ~~commenced~~will ~~her~~commence his service on ~~the~~ the Board on ~~April~~January 4, ~~2022~~2023. The Board has determined that MsMr. ~~Wiser~~Bowser is not an “interested person” as defined in Section 2(a)(19) of the Investment Company Act of 1940, as amended.
