- [F1]On December 18, 2008, the board of directors of the issuer, a real estate investment trust, declared a pro rata distribution of $9,058,000, or $1.56 per share, payable on January 29, 2009 to shareholders of record at the close of business on December 29, 2008 in a combination of 20% in cash and 80% in its common stock, with shareholders having the right to elect cash or stock, subject to the limitation that the issuer would pay no more than 20% of the distribution in cash in total. In the distribution, the reporting person received a total of 14,703 shares, of which 9,919 shares are owned directly and 4,784 shares are owned indirectly, of the issuer's common stock on January 29, 2009 for no consideration. The reporting person believes that the transaction is exempt under Rule 16a-9(a).
