- [F1]On September 30, 2003, the reporting person surrendered 453,000 shares of common stock to an escrow agent in connection with a share exchange transaction between the issuer and Atlantic Components Limited and its sole shareholder. No consideration was paid to the reporting person. The market value of the common stock on September 30, 2003 was approximately $1.00 per share.
- [F2]On September 30, 2003, the issuer assigned all of the assets and liabilities relating to its office and computer supplies and services operations into a newly formed, wholly owned subsidiary, New Print Data Corp. On October 1, 2003, the issuer entered into a securities purchase agreement pursuant to which it sold all of the issued and outstanding capital stock of New Print Data Corp. to the reporting person and other persons in exchange for their surrender to the issuer for cancellation of all of their outstanding Series A Preferred Stock of the Company. There is market for the Series A preferred stock. On June 30, 2003, the reporting person agreed to personally assume, pay and discharge $97,596 in debt owed by the issuer to third party creditors in connection with the issuer's accounts payable, accrued expenses and credit lines in exchange for 97,596 shares of Series A preferred stock.
