Item 2.02. Results of Operations and Financial Condition

On January 28, 2025, The First Bancshares, Inc. issued a press release announcing its results of operations for the fourth quarter of 2024. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein.

On January 28, 2025, The First Bancshares, Inc. announced the declaration of a $0.25 per share quarterly cash dividend. The dividend is payable on February 26, 2025 to shareholders of record as of the close of business on February 10, 2025.
