Following a default under the credit agreements by the third parties, IYG HOLDING COMPANY foreclosed on the collateral in accordance with the terms thereof resulting in the transfer of such Securities to the ownership of IYG HOLDING COMPANY. The Securities have been acquired for no consideration since such acquisition resulted from a foreclosure on the Securities held as collateral under the credit agreements.
