(the "Issuer") withheld 415,739 shares of Class A common stock ("Class A common stock") of the Issuer from the Reporting Person for payment of the tax liability incident to the vesting and settlement of restricted stock units ("RSUs") previously granted by the Issuer.

Each RSU represents a contingent right to receive one share of Class A common stock. 122,550 of the RSUs will vest in three equal installments on each of the first, second and third anniversaries of the date of grant. 376,961 of the RSUs will vest in three equal installments on each of the third, fourth and fifth anniversaries of the date of grant.
