The approval of three of the four members of the board of managers is required to approve an action of Highland Transcend Partners, LLC. Accordingly, none of these four managers will be deemed to have or share beneficial ownership of these shares and, for the avoidance of doubt, each expressly disclaims any such beneficial ownership.
