Item 8.01 Other Events

On August 7, 2023, Avon Products, Inc. announced the final tender results in connection with its previously announced offer to purchase for cash any and all of its outstanding 6.950% Notes due 2043 (the “Notes”) and related solicitation of consents to the holders of the Notes to adopt certain amendment to the indenture governing the Notes. A copy of the press release is being furnished as Exhibit 99.1 herewith.
