Item 7.01 Regulation FD Disclosure.

On April 4, 2025, the Company issued a press release regarding the filing of a registration statement on Form S-4 by Aebi Schmidt Holding AG (“Aebi Schmidt”) in connection with the Company’s proposed merger with an indirect, wholly owned subsidiary of Aebi Schmidt.
