(the "Company"), representing approximately 92.78% of the outstanding Shares. The Shares owned by Naturex Acquisition Corp. were purchased on July 18, 2005 after the consummation of a tender offer (the "Offer") for all outstanding Shares of the Company at a purchase price of $4.30 net in cash per Share, without interest. The Offer was commenced pursuant to an Agreement and Plan of Merger, dated as of June 6, 2005 (the "Merger Agreement"), among Naturex, Naturex Acquisition Corp. and the Company.
