The Registrant, as Depositor (the "Depositor"), Litton Loan Servicing LP, as Servicer (the "Servicer") and LaSalle Bank National Association, as Trustee (the "Trustee") entered into an Amendment No. 1, dated as of June 12, 2006 ("Amendment No. 1"), to the Pooling and Servicing Agreement dated as of March 1, 2006, among the Depositor, the Servicer and the Trustee (the "Pooling and Servicing Agreement"). The terms of Amendment No. 1 primarily set forth certain requirements with respect to the transfer of servicing of the Mortgage Loans (as defined in the Pooling and Servicing Agreement).
