Item 5.02 (b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 30, 2008, the United States Bankruptcy Court for the District of Delaware (the “Court”) (Case No. 07-11176 (BLS) In re: Fedders North America, Inc., et. al.) granted a motion by Fedders Corporation (the “Company”) to reject an employment agreement with Sal Giordano, Jr. (“Mr. Giordano”), Executive Chairman of the Company. As a result, Mr. Giordano is no longer Executive Chairman of the Company, with effect from January 1, 2008.

On January 30, 2008, Mr. Giordano submitted to the Board of Directors (the “Board”) of the Company his resignation as a director. At a meeting of the Board held on January 30, 2008, Mr. Giordano was elected a director of the Company and Chairman of the Board.
