Item 8.01.		Other Events.

On October 2, 2009, Education Management LLC (the “Company”) announced that it has amended its previously announced cash tender offer for its 10 ¹/4% Senior Subordinated Notes due 2016 and its 8 ³/4% Senior Notes due 2014.

A copy of the Company’s press release announcing the amendment to the Tender Offer is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
