SECTION 1 — REGISTRANT’S BUSINESS AND OPERATIONS

Item 1.01 Entry Into a Material Definitive Agreement.

On January 29, 2010, iMedia International, Inc. (the “Registrant”) entered into an interim financing agreement for $150,000 with an existing investor, Sawtooth Properties LLLP, to allow for immediate working capital until the larger financing of $2,500,000 is completed. The actual funding date was 2/1/2010. As reported in the 2/3/2010 filing, in addition to the terms of the short term financing agreement, Sawtooth Properties LLLP will receive warrants to purchase 100,000 shares of common stock in iMedia International at a conversion price of 50 cents each, or the trading price at the end of day of funding, whichever is less. Sawtooth Properties LLLP and iMedia have agreed to a five (5) business day grace period to service this financial obligation at the end of the 60 day period, to allow for forthcoming investment from CH Trust. This grace period ends on 4/9/2010 at the end of business day.
