Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On ~~July~~August 233, 2010, ~~the~~Mr. Ben Martinez gave Inn of the Mountain Gods Resort and Casino (the “Company”) ~~terminated, effective~~notice ~~immediately,~~of ~~the~~his ~~employment~~intention ofto ~~Elizabeth~~resign ~~Foster-Anderson~~from his position as Chief ~~Operating~~Financial Officer of ~~the~~ the Company. Inand ~~addition,~~member of the ~~Company~~Management ~~removed~~Board. MsMr. ~~Foster-Anderson~~Martinez asmay acontinue ~~member~~to ofperform ~~the~~his ~~Management~~duties and ~~Board~~responsibilities during a brief to be determined transition period. ~~There~~Mr. Martinez informed us that he is resigning to accept a position with another company and there was no disagreement between MsMr. ~~Foster-Anderson~~ Martinez and the Company which led to ~~her termination~~his resignation.

On July 29, 2010, the Company entered into an employment agreement with Scott Eldredge to serve as the Company’s Chief Operating Officer and as a member of the Management Board. Mr. Eldredge is expected to start no later than August 6, 2010. Mr. Eldredge will receive an annual salary of $257,500 for the duration of his appointment, subject to annual review.

From April 2005 to March 2010, Mr. Eldredge worked for the Santa Ana Star Casino, first as the Director of Marketing and Transportation and later as the General Manager. As General Manager, he managed a team of 800 employees and oversaw the business strategy for the property. From March 2010 until his appointment with the Company, Mr. Eldredge worked as Corporate Vice President of Marketing for Cherokee Nation Entertainment, where he developed and implemented their marketing strategy. Mr. Eldredge has completed the Casino Management Association certification program and the Maloof Hotels management trainee program. He graduated from New Mexico Highlands University with a Bachelor of Arts degree in business administration in 1991.
